Terms of Service

These Terms of Service ("Terms") govern your access to and use of products and services provided by Dendrites Technologies Co ("Dendrites AI", "we", "us", "our"). By creating an account or using our services, you agree to these Terms.

Products covered: ServiceOrbit (enterprise service intelligence platform), CallWise AI (AI phone receptionist), and Axiom AI Chat (website chatbot). Some products have product-specific terms, linked from their respective landing pages.

1. Account

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the security of your account credentials and for all activity on your account. Notify us immediately if you suspect unauthorized access.

2. Subscriptions & Billing

2.1 Plans and trials

Each product has its own published plans and pricing. Some plans include a free trial; if you don't cancel before the trial ends, the plan renews at the published rate. Rates are in US dollars unless noted.

2.2 Renewal & cancellation

Subscriptions renew automatically at the end of each billing period. You can cancel anytime from your account portal; cancellation takes effect at the end of the current billing period.

2.3 Usage & overages

Plans have monthly usage limits (conversations, call minutes, crawled pages, etc.). Overages are billed at the published rate or require an upgrade. We notify you when you approach a limit.

2.4 Refunds

Subscriptions are non-refundable except where required by law. See our Refund Policy for details.

3. Acceptable Use

You agree not to use our services to:

Violate any law or third-party right (including intellectual property and privacy rights).
Impersonate any person or misrepresent your affiliation with any entity.
Transmit malicious code, attempt to probe, scan, or test the vulnerability of the services.
Circumvent any authentication, rate limit, or access control.
Use the services to harass, abuse, or harm another person, or to generate deceptive or illegal content.
Resell, sub-license, or white-label the service except under plans that expressly permit it.

4. Your Content & Data

4.1 Ownership

You retain all right, title, and interest in the content you provide (your website, documents, call recordings, transcripts, knowledge base, etc.). You grant us a limited, non-exclusive license to process your content solely to provide the services to you.

4.2 No training on your data

We do not use your customer-specific content to train general-purpose AI models. Vendor LLMs (OpenAI, Anthropic, Google) are used under zero-retention API terms where available.

4.3 Deletion

You may delete your content and data at any time from your portal. On account closure, we delete your customer data within 30 days, except for records we are required to retain by law.

5. AI Output

Our services use large language models. AI output can be inaccurate or unsuitable for your use case. You are responsible for reviewing AI-generated content before relying on it for regulated decisions (legal, medical, financial). We provide tooling (quality scores, human review workflows) to help you manage this, but the final responsibility for using AI output rests with you.

6. Service Availability & SLAs

We aim for 99.5% monthly uptime on the public cloud services. Enterprise plans may include a written SLA. Trials and free tiers are provided "as available" without uptime guarantees.

7. Intellectual Property

The software, branding, documentation, and design of our services are owned by Dendrites Technologies Co. and protected by copyright and trademark law. You may not copy, reverse engineer, or create derivative works except as permitted by your plan (e.g., white-label branding on the Scale tier of Axiom AI Chat).

8. Third-Party Services

Our services depend on third-party providers (OpenAI, Anthropic, Google Cloud, Stripe, Twilio, AWS, etc.). Their availability and terms affect our services. A complete list of subprocessors is available on request at [email protected].

9. Warranties & Disclaimers

The services are provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the services will be uninterrupted, error-free, or fit for any particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law, Dendrites Technologies Co.'s total aggregate liability under these Terms will not exceed the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Termination

We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the integrity of the service. On termination, you may export your data for 30 days, after which it will be deleted.

12. Governing Law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Dallas County, Texas.

13. Changes to These Terms

We may update these Terms. Material changes will be announced by email or via the portal at least 14 days in advance. Continued use of the services after changes take effect constitutes acceptance.
