These Terms of Service ("Terms") govern your access to and use of services provided by Dendrites Technologies Co. (also "Dendrites AI", "we", "us", or "our"), a Texas corporation with EIN 41-3559366, including AxiomAI, FaceActions, the app.dendritesai.com portal, the dendritesai.com marketing site, and related APIs and widgets (collectively, the "Services").
1. Acceptance
By creating an account, embedding our widget, or otherwise using the Services, you agree to be bound by these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.
2. Subscriptions and billing
Paid plans are subscription-based and billed monthly or annually. Subscriptions renew automatically at the end of each billing period. You can cancel at any time from your account portal; cancellation takes effect at the end of the current billing period. Subscriptions are non-refundable except where required by law or under our published Refund Policy.
3. Acceptable use
You agree not to:
- Violate applicable law or the rights of third parties
- Impersonate or misrepresent your affiliation with any person or entity
- Transmit malicious code or attempt to discover or exploit vulnerabilities
- Circumvent authentication, rate limits, or access controls
- Harass, abuse, or generate deceptive or illegal content
- Use FaceActions for workplace surveillance, hiring decisions, educational assessment of individuals, or law-enforcement applications (see our Acceptable Use Policy)
- Resell, sub-license, or white-label the Services except under expressly permitted plans
4. Your content and our use of it
You retain all right, title, and interest in the content you provide ("Customer Content"). You grant us a limited license to process Customer Content solely to provide and improve the Services for you.
We do not use Customer Content to train general-purpose AI models. Vendor LLMs we use (OpenAI, Anthropic, Google, Groq) operate under zero-retention API terms where available.
On account closure, we delete Customer Content within 30 days, except for records we are required to retain by law.
5. AI output and responsibility
The Services use machine learning. Outputs may be incorrect or incomplete. You are responsible for reviewing AI-generated content before relying on it for regulated decisions (medical, legal, financial, or otherwise consequential).
6. Service levels
We target 99.5% monthly uptime on public cloud services. Free tiers are provided "as available" without uptime guarantees. Business and Enterprise plans include a written 99.9% SLA. See our trust center.
7. Sub-processors and data residency
We use the sub-processors listed at /security#subprocessors. We commit to 30 days' advance notice via email before adding any new sub-processor that handles Customer Content. Custom data residency is available on Enterprise plans on request.
8. Termination
We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the integrity of the service. On termination, you may export Customer Content for 30 days, after which it will be deleted.
9. Disclaimer
The Services are provided "as is" and "as available" without warranties of any kind, express or implied.
10. Liability
To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid us in the 12 months preceding the claim. We exclude liability for indirect, incidental, special, consequential, or punitive damages.
11. Governing law and venue
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Dallas County, Texas.
12. Changes
We may update these Terms from time to time. Material changes will be communicated by email or by a notice in the portal at least 30 days before they take effect.
